This Artificial Intelligence (“AI”) Acceptable Use Policy (“AI Policy”) applies to Customer’s use of all features offered by Alation that incorporate AI (collectively, “AI Features”). Unless otherwise defined in this AI Policy, capitalized terms will have the meaning given to them in the Software License and Services Agreement between Customer and Alation (“Agreement”).
1) USE OF AI
a. Alation may make AI Features available as part of Alation Cloud. In accordance with the Documentation, Customer may at any time and on a go-forward basis, elect to opt-out of Alation’s AI Feature utilizing the applicable “opt-out” toggle or feature within Alation Cloud.
b. All Customer Data processed through AI Features shall remain subject to the confidentiality, security and data protection provisions of the Agreement.
c. Alation will not use Customer Data to train, evaluate or improve AI Features, except as permitted under section 2(b)-(c) below.
d. The Alation DPA found at https://alation.com/online-dpa will govern the processing of Personal Data by the AI Features, if any.
2) INTELLECTUAL PROPERTY
a. Customer retains ownership of all Customer Data and of outputs generated by AI Features that are exclusively based on Customer Data (“AI Outputs”). Ownership of AI Outputs does not extend to Alation’s underlying models, algorithms or technology used to generate them.
b. Alation will exclusively own and retain all rights, title and interest, including all intellectual property rights, in and to AI Features and the underlying models, software, algorithms and technology, as well as any updates, enhancements, improvements, modifications or learnings derived from their operation, provided that such learnings do not identify Customer or its Named Users.
c. Alation may collect, use and analyze data derived from Customer’s use of AI Features for purposes of operating, maintaining, improving and developing its products and services, provided that such data is anonymized and Named Users will not be identified.
3) WARRANTIES
a. Alation confirms that to the best of its knowledge at the time of delivery of Alation Cloud, AI Features are provided in accordance with common industry technical standards and applicable rules, laws and regulations and shall not knowingly infringe any third-party intellectual property rights.
b. Customer acknowledges that AI Outputs are generated automatically and may include inaccuracies. Customer is responsible for evaluating the accuracy and suitability of any AI Outputs before relying on or using them.
4) COOPERATION.
a. Upon reasonable request and to the extent such information is available and disclosure does not compromise Alation’s security or intellectual property, Alation will provide Customer with information required by Customer to evaluate AI Features.
b. Alation will provide reasonable advance notice to Customer of any material updates or new AI Features that materially change the manner in which Customer Data is processed or could reasonably be expected to impact Customer’s use of AI Features.
